Terms & Conditions
Last updated: 23 July 2026
⚠️ Placeholder for legal review. This is a structured draft to be replaced with counsel-approved terms before public launch. Do not treat it as a binding agreement.
These Terms & Conditions (“Terms”) govern access to and use of the Code Alchemist platform and this website (together, the “Service”), operated by Code Alchemist (“we”, “us”). By accessing the Service or requesting access, you agree to these Terms on behalf of yourself and your organization.
1. Eligibility & accounts
The Service is offered to organizations on an invitation basis. Access is provisioned per tenant by an administrator. You are responsible for maintaining the confidentiality of credentials and for all activity under your organization’s account.
2. Acceptable use
- Use the Service only for lawful code, SQL and report conversion for content you are authorized to process.
- Do not attempt to breach tenant isolation, reverse-engineer, or disrupt the Service.
- Do not upload content that infringes third-party rights or violates applicable law.
3. Your content & data
You retain ownership of source files, database credentials and outputs you provide or generate (“Customer Content”). You grant us a limited license to process Customer Content solely to provide the Service. Each tenant’s data is stored in an isolated database. See our Privacy Policy for detail.
4. Third-party AI models
The Service orchestrates third-party large language models. Where you supply your own provider API keys, your use of those providers is also subject to their terms. We are not responsible for third-party model availability, output accuracy, or provider data handling.
5. Conversions are assistive, not warranties
Conversions, verification results and confidence verdicts are provided to assist your team. They do not guarantee correctness. You are responsible for reviewing and testing all output before production use.
6. Fees
Fees, if any, are set out in a separate order or agreement between us and your organization. LLM usage costs may apply as described at onboarding.
7. Confidentiality
Each party will protect the other’s non-public information disclosed in connection with the Service.
8. Disclaimers & limitation of liability
The Service is provided “as is”. To the maximum extent permitted by law, we disclaim implied warranties and our aggregate liability is limited as set out in your organization’s order or agreement.
9. Termination
We may suspend or terminate access for breach of these Terms. You may stop using the Service at any time.
10. Changes
We may update these Terms; material changes will be communicated to tenant administrators.
